OSI Geospatial announces director departure and new audit chair appointment

Ottawa, ON, Canada - January 18, 2010, Ottawa, ON, Canada - OSI Geospatial Inc., a manufacturer of navigation systems for military and security applications, announced that Donald W. Young has resigned as a member of the Board of Directors and as the Chair of the Audit Committee, effective today.

Mr. Young has served on the Board of OSI Geospatial Inc. since March 2006. He is a chartered accountant and was a senior audit partner with KPMG LLP until his retirement. He has provided financial and planning advice to business as a consultant. He is a Fellow and a past member of the Executive Committee of Board of Governors of the Canadian Institute of Chartered Accountants.

Mr. Young is currently a director, Audit Committee Chair and member of the Corporate Governance, the Nominating and the Environmental and Safety Committees for Kimber Resources Inc. He is also a director and member of the Finance and Audit Committee of the British Columbia Safety Authority, an independent, self funded organization that promotes excellence in safety.

Steve M. Barnett, currently an OSI Board member and member of the Audit Committee, will be replacing Mr. Young as Chair of OSI's Audit Committee.
