Hatfield, United Kingdom - January 22, 2013, Hatfield, United Kingdom - Ocado Group, an online grocer, announced that it has appointed Sir Stuart Rose as an independent non-executive director and chairman designate, effective March 11, 2013.

Sir Stuart served as chief executive officer of Burton Group, CEO of Argos, CEO of Arcadia Group, CEO and Executive chairman of Marks & Spencer, and a Non-executive director of Woolworths Holdings. He was knighted for his services to the retail industry and was honored by the University of Leeds, receiving an honorary Doctor of Laws (LLB).
The company also announced that Lord Michael Grade will retire as a Non-Executive Director and as Chairman on March 11, 2013.
Lord Grade joined the Board as Chairman in 2006. He has had a long and distinguished career in broadcasting, encompassing ITV, BBC and over nine years as Chief Executive of Channel 4 Television. He is currently a non-executive director at WRG Worldwide Limited, the Chairman of Pinewood and Shepperton Film Studios and also Chairman of James Grant Group Limited. A Peerage of the United Kingdom for Life was conferred upon him and he was appointed a member of the Press Complaints Commission Limited.
The company also announced that Wendy Becker will stand down as a non-executive director.
Ms. Becker joined the Board in March 2012, and is chairman of the Remuneration Committee. She also serves on the Nomination Committee. She has been a Non-Executive Director at Whitbread plc since 2008, and is also a Trustee of Cancer Research UK.
Ms. Becker has held a number of commercial leadership roles including Group Chief Marketing Officer of Vodafone and CEO of TalkTalk's residential business. Prior to that she was a Partner at McKinsey & Company where she led the UK Retail and Consumer Practice. She holds a BA in Economics from Dartmouth College and an MBA from Stanford's Graduate School of Business.
The company also announced that Douglas McCallum will be Chairman of the Remuneration Committee in place of Ms. Becker.
Mr. McCallum joined the Board in October 2011 as an independent Non-Executive Director and serves on the Remuneration and Nomination Committees. He has been a pioneer of the internet industry for 17 years; for the last ten years at eBay he led the UK business and then turned around the pan-European business. ■
