Mr. Hargis serves as the President of Oklahoma State University and the OSU System since December 2007. He served as an Attorney of McAfee & Taft (Oklahoma City, Oklahoma). He practiced law in Oklahoma City for 28 years. He served as of Counsel to the law firm of McAfee & Taft (Oklahoma City, Oklahoma). He served as the Chairman of United Way of Central Oklahoma.
Mr. Hargis served as Vice Chairman of Bank Of Kansas City, National Association. He served as Vice Chairman of BOK Financial Corp. and Bank of Oklahoma, National Association from 1997 to March 2008. Mr. Hargis has been a Director of BOK Financial Corp. since 1993 and serves as Director of Bank of Oklahoma, N.A. He serves as Director of BOSC, Inc. He serves as Director of Oklahoma Bankers Association.
Mr. Hargis has been a Director of Chesapeake Energy Corporation since September 15, 2008. He served as a Director of Bank Of Kansas City, National Association; President of the Oklahoma County Bar Association, the Oklahoma Bar Foundation and is a Fellow of the American Bar Foundation.
Mr. Hargis served as Vice-Chairman of the Oklahoma State Election Board, the Oklahoma Constitutional Revision Commission, Chairman of the Oklahoma Commission for Human Services, Chairman of the Board of Regents for the Oklahoma Agricultural and Mechanical Colleges of Oklahoma State University and a member of the Commission of the North Central Association of Colleges and Schools.
Mr. Hargis was a candidate for the Republican nomination for Governor of Oklahoma in 1990. In 1967, Mr. Hargis entered the United States Army as a Commissioned 2nd Lieutenant, Military Intelligence, and was honorably discharged as a Captain, U.S. Army Reserves, in 1977.
Mr. Hargis graduated from Oklahoma State University in 1967 with a degree in Accounting and holds Juris Doctorate degree from the University of Oklahoma School of Law in 1970.
Louis A. Raspino has been elected to fill the vacancy and has been appointed chairman of the audit committee. He will stand for election at the 2013 annual meeting of shareholders in June.
Mr. Raspino’s career has spanned almost 40 years, most recently as president and chief executive officer of Pride International, Inc., an oil and gas drilling and services company, until Pride’s merger with Ensco plc in May 2011.
He started his corporate career in 1978 with The Louisiana Land & Exploration Company, where he rose to the level of SVP/CFO and member of the Office of the Chairman.
During his career with LL&E, Mr. Raspino helped lead the company’s strategic transformation – including numerous acquisitions and divestitures – that ultimately enabled a merger in 1997 with Burlington Resources, creating the nation’s second-largest independent E&P company at the time.
After serving as vice president of finance for the Halliburton Company, he then became senior vice president and chief financial officer of Grant Prideco, Inc. in 2000. He was named senior vice president and chief financial officer of Pride in 2003 and was promoted to president and chief executive officer in 2005. He began his career in 1973 as a Certified Public Accountant with Ernst & Young, advising clients in the energy, financial and public utility sectors.
Mr. Raspino serves on the boards of two other public companies, Dresser Rand Corporation since 2005, where he is chairman of the compensation committee and a member of the audit committee, and in 2012 he became an investor in and board member of Forum Energy Technologies, where he serves on the nominating, governance and compensation committee. He also served on Pride’s board until its merger with Ensco plc. ■
