Mr. Morgan has more than 20 years of experience in general corporate law, corporate finance, securities, and mergers and acquisitions, in addition to his experience in the areas of technology, banking, real estate and venture capital. Mr. Morgan counsels public and private companies on a wide variety of matters, including reorganizations, entity structuring and corporate governance.
He has successfully managed transactions involving commercial finance, venture capital and mezzanine funds, as well as complex real estate and development projects, and has worked with several successful start-up companies, including those in the technology and banking areas.
Mr. Morgan is admitted to practice in Ohio, and is a member of the American, Ohio State and Columbus Bar Associations. He earned his J.D., with honors, from The Ohio State University College of Law in 1982, and a B.A., cum laude, from Harvard University in 1978.
Mr. Morgan is listed in The Best Lawyers in America and Ohio Super Lawyers, and was named by Business First as one of the "Best Lawyers in Columbus." He practices out of Hahn Loeser 's Columbus office.
Mr. Baisden has a national labor and employment practice which includes representing employers in all areas of employment and labor relations, as well as related employment litigation, in federal and state trial and appellate courts in 36 states.
He has significant first chair experience in protecting employers from unfair competition, representing management in litigating the enforceability of restrictive covenants and confidentiality agreements, and legal proceedings regulating picketing and other organizational conduct of non-employee union organizers. He also litigates claims of wrongful discharge and discrimination, as well as cases under ERISA.
Mr. Baisden defends employers in administrative proceedings before the Department of Labor and the Occupational Safety and Health Administration, and represents employers before the National Labor Relations Board and its Division of Advice, the Equal Employment Opportunity Commission and state administrative agencies in connection with charges of discrimination.
He regularly counsels both union and non-union employers on wage and hour compliance, representation elections, contract negotiations, third party avoidance, discipline, leaves and terminations.
Additionally, Mr. Baisden is experienced in training client personnel in the implementation and application of personnel policies, third party avoidance and internal investigations. ■
